LICENSING POLICY
All of the Acronis® and GroupLogic ® software products ("Software") are licensed to end-users by Acronis International GmbH ("Acronis").
The standard licensing policy is based on the number of devices and operating environment running on an End User’s premises or in anyone’s cloud, which our Software is used for.
"End User" means a natural person associated with the Enterprise who installs Acronis software on such person’s Supported Devices for use with Acronis software products.
A "Device" means a single hardware system with operating environment either physical or virtual. For instance, a Windows or Linux operating system is considered a single "device", even if multiple operating systems are installed on a single hardware unit.
"Supported Devices" refers to the computing devices that are supported for use with the Acronis software products (as indicated in the Acronis documentation).
A single license is required for use the software for backup of a single device. However, a license is not required for the deployment of the software. It means that even if you do not install the software on the device and use it via bootable media, a separate license is required for each backed up device.
Such license is non-transferable and non-assignable, except the following circumstances: when the original machine the Software license was used on: (i) becomes non-functioning or obsolete; and (ii) is taken out of service. In such cases, the license is transferable to a replacement machine.
In the case when the product is used on a cluster, each node of the cluster must be licensed.

Number of maximum allowed End Users is as specified in the Contract Documents. Up to 5% of the End Users indicated in the Contract Documents may be visitors and third parties permitted access by the Enterprise. Reshare functionality is included in a perpetual license. |
Acronis Subscription-Based Product Licensing
The subscription license becomes activated once the purchased license key is registered under customer’s Acronis Account. To use subscriptions in the product, one need to synchronize them with account (Internet connection is required on a machine with the installed product).

Acronis Physical Data Shipping to cloud |
Physical Data Shipping to cloud enables customers to send one hard disk drive (1) to an Acronis cloud data center so that the center can upload large volumes of data quickly to the cloud.
This product may only be used in combination with a valid Acronis Backup-based and Acronis Cloud Storage Subscription License. |
Acronis Disaster Recovery Storage Subscription License |
The license is based on the purchased subscription term and total storage capacity necessary to run unlimited number of failover servers in Acronis Cloud.
This product may only be used in combination with a valid Acronis Cloud Storage Subscription License and Acronis Backup Subscription Licenses. |
Acronis Disaster Recovery Compute Points |
The license provides a number of Compute Points that act as currency whenever server is activated and running in Acronis Cloud.

Acronis Backup Advanced for vCloud (for Service Providers) | Acronis provides this product to service providers on a "pay for usage" basis. The pricing of this usage is set forth in the purchase order and Acronis will bill the service provider on a monthly basis for the usage of this product. A "usage" license to the product is granted, not a perpetual license. |
Acronis Disk Director 12.5 Server Technician License | The license is based on the purchased subscription term and may be used on unlimited supported physical or virtual machines running on an End User’s premises or in anyone’s cloud. |
Acronis Files Advanced | For the purchased subscription period, Acronis Files Advanced may be installed on an unlimited number of physical host servers within the licensee’s Enterprise and up to three (3) named Supported Mobile Devices and unlimited Mac and/or Windows PCs per End User. Number of maximum allowed End Users is as specified in the Contract Documents. Once the purchased Acronis Backup subscription license key is registered under customer’s Acronis Account, the subscription becomes activated and ready to use for Cloud Agent installations. To use subscriptions in the on-prem installations, one need to synchronize them with account (Internet connection is required on a machine with the installed product).

Acronis Backup Cloud Licensing Policies
Definitions"Application" means an individual instance of Microsoft SQL Server, an individual instance of Microsoft Exchange Server and/or individual instance of Microsoft Active Directory.
"Acronis Backup Cloud" means Acronis Backup Cloud software and services
"Cloud Backup" means Storage that is managed by Acronis on Service Provider’s behalf
"Cloud servers" means a common term representing either a Recovery server or primary server
"Cloud Server Backup" means Servers on Service Provider’s network that may be backed up on Cloud Backup using the Acronis Backup Cloud
"Cloud VM Backup" means Virtual Machines on Service Provider’s network that may be backed up on Cloud Backup using the Acronis Backup Cloud
"Cloud Workstation Backup" means Workstations on Service Provider’s network that may be backed up on Cloud Backup using the Acronis Backup Cloud
Cloud Mobile Device Backup means Mobile Device that may be backed up on Cloud Backup using the Acronis Backup Cloud
"Contract Documents" means the Pricing and Order Form, Order Confirmation, Invoice and/or other purchasing documentation issued by Acronis to Service Provider in connection with the purchase of the Acronis Backup Cloud license and any subsequent amendment or modification of the terms therein (agreed by Acronis and Service Provider), as applicable.
"Compute point" means a unit of measurement, introduced by Acronis, to simplify pricing and reporting for compute resources utilization
"Device" means an individual Workstation, Virtual Machine, Mobile Device and/or Server
"Disaster Recovery Cloud" - means Acronis Disaster Recovery Cloud software and services
"Disaster Recovery Storage" - means the size of a data associated with storing and processing cloud servers, including the reserved space.
"Disaster Recovery Infrastructure" means a collection of software and hardware required to provide Disaster Recovery capabilities.
"End User" means the ultimate entity or individual using the Acronis Backup Cloud
Hypervisor Host Server means a computer that can run multiple operating systems on a single machine
"Local Backup" means Storage that is owned and/or managed by the End User
"Local Server Backup" means Servers on Service Provider’s network that may be enabled to allow Local Backup using the Acronis Backup Cloud
"Local VM Backup" means Virtual Machines on Service Provider’s network that may be enabled to allow Local Backup using the Acronis Backup Cloud
"Local Workstation Backup" means Workstations on Service Provider’s network that may be enabled to allow Local Backup using the Acronis Backup Cloud
"Account Management Server " means Acronis’s management console platform that allows Service Provider the ability to manage its customers, resellers and End Users’ use of the Acronis Backup Cloud
"Primary Server" means a virtual server, deployed in an Acronis Data Center, which is used to host application nodes or as an additional host when other data protection scenarios are required
"Recovery Server" means a replica of a protected server, which is hosted in an Acronis Data Center and is used for failover or failover-readiness check
"Public IP Address" means a dedicated public-facing IP address which can be added to a cloud server that requires external network access.
"Server" means a Device that provides data to other computers
"Service Provider" means an entity using the Account Management Server to authorize its customers the right to either use the Account Management Server to create their own sub-user accounts for their reseller customers, if any, and/or an entity that markets and delivers the Acronis Backup Cloud to the End User
"SP Cloud Backup" means Storage that is owned and/or managed by the Service Provider
"Storage" means the archiving of data for use by a computer including but not limited to Workstation, Virtual Machine and/or Server
"Virtual Machine" means a software computer that, like a physical computer, runs an operating system and applications. The Virtual Machine is comprised of a set of specification and configuration files and is backed by the physical resources of a host
"Workstation" means a personal computer or desktop computer terminal
"Mobile Device" is a personal handheld tablet or phone, or, at Acronis sole discretion, - other device that is made for portability, and is therefore both compact and lightweight
"Website" is a collection of related web pages and databases, identified with a common domain name, and published on a web server
"Website Backup" means Website that may be backed up on Cloud Backup using the Acronis Backup Cloud
Acronis Backup Cloud – Hosted
Acronis Backup Cloud consists of four components: the Account Management Server, Backup Management Server, Cloud Storage and an agent on the end point device. With the Acronis Backup Cloud Hosted model, Acronis hosts and manages the Account Management Server, Backup Management Server and Cloud Storage. Acronis provides the Acronis Backup Cloud to Service Providers on a "pay per usage" or "pay per device" basis. A subscription license to the Acronis Backup Cloud is granted, not a perpetual license.
Pay per Usage – Service Provider is limited in the number of Cloud Server Backups, Cloud Virtual Machine Backups, Cloud Workstation Backups, Cloud Mobile Device Backups, and/or Website Backups based on the Contract Documents. Service Provider is limited in the number of Local Server Backups, Local Virtual Machine Backups, and Local Workstation Backups by the Maximum Allotment.
Pay per Device – The number of Devices and Websites that may be registered within the Backup Management Server is limited by the number of Devices and Websites that Service Provider pays for in accordance with the Contract Documents.
Acronis Backup Cloud - Hybrid or Hosted by Service Provider
Acronis Backup Cloud consists of four components: the Account Management Server, Backup Management Server, Cloud Storage and an agent on the end point device. With the Acronis Backup Cloud Hybrid model, Acronis hosts and manages both the Account Management Server, Backup Management Server but not the Storage. With the Acronis Backup Cloud Service Provider Hosted model, the Service Provider hosts and manages the Account Management Server, Backup Management Server and Cloud Storage. Acronis provides the Acronis Backup Cloud to Service Providers on a "pay per usage" or "pay per device" basis. A subscription license to the Acronis Backup Cloud is granted, not a perpetual license.
Pay per Usage – Service Provider is limited in the number of Cloud Server Backups, Cloud Virtual Machine Backups, Cloud Workstation Backups, Cloud Mobile Device Backups, and/or Website Backups based on the Contract Documents. Service Provider is limited in the number of Local Server Backups, Local Virtual Machine Backups, and Local Workstation Backups by the Maximum Allotment.
Pay per Device – The number of Devices and Websites that may be registered within the Backup Management Server is limited by the number of Devices and Websites that Service Provider pays for in accordance with the Contract Documents.
Acronis Disaster Recovery Cloud - Hosted
Acronis Disaster Recovery Cloud is an incremental to Acronis Backup Cloud infrastructure. With the Acronis Disaster Recovery Cloud Hosted model, Acronis hosts and manages all the components specified in "Acronis Backup Cloud – Hosted" section and the Disaster Recovery Infrastructure. Acronis provides the Acronis Disaster Recovery Cloud to Service Providers and enterprise accounts on a "pay per usage" basis. A subscription license to the Acronis Disaster Recovery Cloud is granted, not a perpetual license.

Acronis Notary Cloud
Definitions"Application" means an individual instance of Microsoft SQL Server, an individual instance of Microsoft Exchange Server and/or individual instance of Microsoft Active Directory.
"Acronis Notary Cloud" means Acronis Notary services
"Notary Cloud Storage" means Storage that is managed by Acronis on Service Provider’s behalf
"Contract Documents" means the Pricing and Order Form, Order Confirmation, Invoice and/or other purchasing documentation issued by Acronis to Service Provider in connection with the purchase of the Acronis Notary Cloud license and any subsequent amendment or modification of the terms therein (agreed by Acronis and Service Provider), as applicable.
"Notarized file" – a hash of which is calculated and recorded into the Ethereum blockchain to proof file’s authenticity. Each record in the Ethereum blockchain is time-stamped, immutable, and independently verifiable.
"Electronically signed file" is a file that is electronically signed by persons selected by signature processes initiator. An artefact of a that processes is a signature certificate a hash of which is calculated and recorded into the Ethereum blockchain to proof its authenticity. Each record in the Ethereum blockchain is time-stamped, immutable, and independently verifiable. "End User" means the ultimate entity or individual using the Acronis Files Cloud
"Account Management Server " means Acronis’s management console platform that allows Service Provider the ability to manage its customers, resellers and End User’s use of the Acronis Notary Cloud.
"Server" means a Device that provides data to other computers.
"Service Provider" means an entity using the Account Management Server to authorize its customers the right to either use the Account Management Server to create their own sub-user accounts for their reseller customers, if any, and/or an entity that markets and delivers the Acronis Notary Cloud to the End User.
"SP Cloud Storage" means Storage that is owned and/or managed by the Service Provider.

Definitions

"Storage" means the archiving of data for use by a computer including but not limited to Workstation, Virtual Machine and/or Server.
"Virtual Machine" means a software computer that, like a physical computer, runs an operating system and applications. The Virtual Machine is comprised of a set of specification and configuration files and is backed by the physical resources of a host.
"Workstation" means a personal computer or desktop computer terminal.
Acronis Backup Service
Acronis Backup Service software and services product consists of three components; the Account Management Server, Cloud Storage and an agent on the end point device. With the Acronis Backup Service software and services, Acronis hosts and manages both the Account Management Server and Cloud Storage. A subscription license to the Acronis Backup Service software and services is granted, not a perpetual license.
Acronis provides subscription based product licensing for the terms specified next to the following products:
Acronis Backup Service – Starter Pack – Workstation | The license is based on the purchased subscription term for a maximum of three (3) Workstations. The license allows a maximum of two hundred fifty (250) gigabytes of Cloud Storage. |
Acronis Backup Service – Starter Pack – Server | The license is based on the purchased subscription term for a maximum of one (1) Server and five (5) Virtual Machines. The license allows a maximum of five hundred (500) gigabytes of Cloud Storage. Regardless of the amount of Cloud Backup authorized per Server, each Application backed up on a Server shall be counted and billed as a unique additional Server. |
Acronis Backup Service – Cloud Storage | The license is based on the purchased subscription term for the same capacity of Cloud Storage, either two hundred fifty (250) gigabytes, five hundred (500) gigabytes, one thousand (1,000) gigabytes or five thousand (5,000) gigabytes, as the version purchased. This license may only be used in conjunction with an Acronis Backup Service – Starter Pack license. This license may be used on the number of Devices specified in the Acronis Backup Service – Starter Pack and in the Acronis Backup Service – Devices if any. |
Acronis Backup Service – Devices – Workstation 5x | The license is based on the purchased subscription term for a maximum of five (5) Workstations, and can only be used in conjunction with an Acronis Backup Service – Starter Pack – Workstation license. Acronis Products for Home users
Acronis True Image
Standard License. A single license is required for use on a single machine; such license is non-transferable and non-assignable, except in limited circumstances. The limited circumstances include where the original machine the Software license was deployed on: (i) becomes non-functioning or obsolete; and (ii) is taken out of service. In such cases, the license is transferable to a replacement machine.
Family Pack License. A single license is required for installation on up to three (3) machines within the same household.

GROUPLOGIC AND MOBILITY SOFTWARE LICENSING POLICY
Standard Definitions:
"Enterprise" means the company and location specified in the Contract Documents.
"Contract Documents" means the Pricing and Order Form, Order Confirmation, Invoice or other purchasing documentation issued by Acronis to Licensee in connection with the purchase of the license to the Software and any subsequent amendment or modification of the terms therein (agreed by Acronis and Licensee), as applicable.
Licensees transitioning from Perpetual Licenses to Subscription Licenses must retire and terminate existing Perpetual Licenses as of the Order Date of the Subscription Licenses.
All of the GroupLogic ® software products are licensed to end-users by Acronis International GmbH ("Acronis").

Acronis Monitoring Service
Subscription License Acronis Monitoring Service license is based on the number of allowed Monitors
"Monitor" represents a single infrastructure resource that needs to be monitored, measured and/or checked in Acronis Monitoring Service. Examples include server CPU load, website HTTP latency, log file, MySQL DBMS and other. The number of Monitors cannot exceed the license count. In the event that the number of assigned Monitors exceeds the number allowed by your license, the monitors that exceed the license limit will not be activated. You may either disable some Monitors to reduce your total Monitor count, or upgrade your license.
KEYS / PIRACY
Acronis issues license keys for each license purchased. The end-user is authorized to use each license key to activate and use the Software within the parameters of this Licensing Policy. All subscription licenses are considered activated upon delivery or after a license key activation unless a specific date is otherwise identified in the purchase order. When purchasing subscription licenses of any GroupLogic Software, all existing perpetual license s of that same GroupLogic Software are retired and terminated as of the shipment date of the purchase subscription licenses keys. The use, distribution, or sale of Acronis license keys for any purpose other than as specifically permitted by this Policy and in the End User License Agreement is strictly prohibited. Acronis takes all instances of unauthorized use of its Software seriously, and such unauthorized use may result in civil or criminal action to enforce the terms of the EULA and this Policy, and the imposition of civil or criminal fines or penalties. Subscription licensed Software may contain serial keys that are time-stamped and will deactivate upon expiration of the paid subscription term.
